Terms of Service

Please read these terms of service carefully before using our site or the Wisp Service.

1. Who we are and how to contact us

The website usewisp.io and the Wisp Service are operated by Confidential Crab Computing referred to as “Wisp”, “we”, “us” or “our” in this document.

We are registered in the Cayman Islands. To contact us, please email contact@usewisp.io.

2. By using our site and the Service you accept these terms

By using our site or the Wisp Service, you confirm that:

  • you accept these terms of service and agree to comply with them;
  • you are not a minor under the laws of your home jurisdiction;
  • you are aware that you are interacting with an AI system.

If you do not agree to these terms, you must not use our site or the Service.

We recommend that you print a copy of these terms for future reference.

4. What Wisp is

Wisp is a privacy-oriented AI workspace. The Service has three components:

  • Wisp Desktop — a cross-platform application that runs on your computer and provides the chat interface, project workspace, and local settings.
  • Wisp Agent — a local service that executes tools on your behalf on your machine, such as reading and writing files inside the project folder you select, running shell commands and fetching URLs.
  • Wisp Proxy — a confidential relay that runs inside a Trusted Execution Environment (TEE), executes identifiable requests (e.g. web searches) on behalf of the user to shield their identity, and forwards model requests to third-party large-language-model (LLM) providers on behalf of users.

The Service is designed so that your conversations and files stay on your device at rest, and so that the operators of both the Proxy and the LLM cannot read your prompts or responses in the clear.

5. Your licence to use Wisp

Subject to your compliance with these terms, we grant you a personal, worldwide, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the Service.

6. Accounts and access

Once you create an account you can use the Wisp Service on your own machine.

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party. You are responsible for all activity conducted using your credentials and you must inform us if you suspect unauthorized access to your account.

We have the right to disable any user identification code or password if, in our reasonable opinion, you have failed to comply with any of the provisions of these terms of service.

If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at contact@usewisp.io.

7. Acceptable use

You agree not to use the Service to:

  • violate any applicable law or regulation, or infringe the intellectual-property, privacy, or other rights of anyone else;
  • generate, distribute, or solicit sexual content involving minors, content that promotes violence or self-harm, or other content that a reasonable person would find abusive;
  • use personal, confidential or sensitive information belonging to third parties without their prior permission;
  • develop malware, spyware, ransomware, or tools designed to cause harm to computer systems, or instruct the agent to attack systems you do not have permission to test;
  • circumvent, tamper with, or probe the Trusted Execution Environment, the Proxy’s attestation, access controls, rate limits, or any security feature of the Service;
  • resell, redistribute, or provide the Service to third parties as a hosted product without our written permission;
  • use the Service to build a competing product by scraping model outputs, or to violate the terms of any upstream LLM or search provider routed through the Proxy;
  • use automated means to abuse the Service, including unreasonable volumes of requests, that would harm the stability of the Proxy or upstream providers;
  • knowingly introduce viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful, or otherwise harmfully interact with the Service or any part of it.

You must not attempt to gain unauthorised access to our site or servers, the server on which our site is stored, or any server, computer or database connected to our site or any other equipment or network connected with our site. You must not interfere with, damage or disrupt any software used in the provision of our site or the Service or any equipment or network or software owned or used by any third party on which the site or Service relies in any way. You must not attack our site or Service via a denial-of-service attack or a distributed denial-of-service attack. In the event of such a breach, your right to use our site or the Service will cease immediately.

You must not use the site or the Service if you are a resident, citizen, national or agent of, or an entity organized, incorporated or doing business in, Crimea, Cuba, Donetsk, Iran, Luhansk, North Korea, Syria, or any other country or region to which the United States, the United Kingdom, the Cayman Islands, the European Union (or any of its member states) or the United Nations or any of its member states embargoes goods or imposes similar sanctions (“Restricted Territories”). By continuing to access, view or make use of our site, the Service and any related content and services, you hereby warrant and represent to us that you are not located in a Restricted Territory.

8. Third-party services

Wisp is connected to certain third-party providers and allows you to connect to others. When those integrations are used, the third party’s terms and privacy policy may apply. This currently includes, depending on your configuration:

Wisp App

  • LLM providers reached through the Wisp Proxy (such as Redpill and Tinfoil);
  • Search providers used by the Wisp Proxy (such as Brave Search);
  • OAuth identity providers used by optional connectors (such as Google for Gmail, Drive, or Calendar tools);
  • Clerk.com and other providers for authentication and user management;
  • TEE infrastructure providers (such as Phala).

Website

  • Osano, Inc. for cookies management and compliance (which is not applicable to the Wisp Service/App);
  • All payments are processed by InflowPay SAS, a company incorporated in France (RCS Paris 928 877 349) - see further details below;
  • Product and marketing analytics.

We are not responsible for third-party services, and their own applicable Terms of Service, availability, pricing, and policies may change without notice.

9. Your content and outputs

You retain all rights to the prompts, files, code, and other material you provide to the Service (Your Content) and to the outputs the Service generates in response to you. We do not claim ownership of Your Content or of model outputs produced for you.

You are solely responsible for Your Content and for ensuring that you have the rights necessary to submit it to the Service and to any connected third-party provider.

10. AI output and agent actions

AI models can produce output that is wrong, outdated, biased, or fabricated. You should not rely on model output as a substitute for professional advice (for example, legal, medical, financial, or otherwise) and you are responsible for reviewing output before you act on it.

Important: The Wisp Agent can read and modify files inside the project folder you select and can run shell commands on your machine. You control which project folder the agent can access. Before approving an agent action, review what it is about to do. We are not responsible for loss or corruption of files, data, or systems caused by commands that you or the agent execute on your device.

11. Fees

The Wisp Service is made available without charge for limited use thresholds. Above those thresholds you will need to access a paid subscription tier (with various price plans related to usage in place). All charges will be made clear to you before purchase.

All payments for the Wisp Service are processed by InflowPay SAS, which acts as the Merchant of Record and principal seller for all transactions. InflowPay SAS is responsible for payment collection, invoicing, chargebacks, refunds, and consumer dispute resolution in connection with all transactions. InflowPay SAS’s Terms and Conditions, which govern the sale and the processing of your payment, are available at: www.inflowpay.com

Except as expressly provided by applicable law, all fees, charges and other amounts paid or payable for the Service are non-refundable. You shall not be entitled to any refund, credit or reimbursement of any such payments.

Third-party LLM and search providers may charge for their services independently. You are responsible for any charges that apply to accounts you hold with those providers.

12. Intellectual property

The Service and the website, including its software, branding, and documentation, is owned by Wisp and protected by intellectual-property laws. No rights are granted to you other than as expressly set out in these terms.

While certain software source code, scripts, algorithims and related documentation (collectively the “Code”) may be published or otherwise made publicly available, such publication or distribution does not grant any licence to commercialise, redistribute, sublicence, re-use, create derivative work based on the Code, or publicly display/publish the Code. The Code may not be used to develop competing products or services.

You may not reverse engineer, decompile, or disassemble components of the Service or the Code.

13. No text or data mining, or web scraping

You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our site, the Wisp Service or any other services provided via, or in relation to, our site (for any purpose, including the development, training, fine-tuning or validation of AI systems or models). This includes using, or permitting, authorising or attempting the use of:

  • Any “robot”, “bot”, “spider”, “scraper” or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of our site or Service and any data, content, information or services accessed via the same.
  • Any automated analytical technique aimed at analysing text and data in digital form to generate information (or develop, train, fine-tune or validate AI systems or models) which includes but is not limited to patterns, trends and correlations.

14. Rules about linking to our site

  • You may link to our site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
  • You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
  • Our site must not be framed on any other site.
  • We reserve the right to withdraw linking permission without notice.
  • The website in which you are linking must not violate the content of Section 7 of this Agreement, ‘Acceptable Use’.

15. Disclaimer of warranties

THE WEBSITE AND SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WISP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Website or Service will be uninterrupted, error-free, secure against every possible attack, free from bugs or viruses or that model output will be accurate, reliable, or suitable for your purposes.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WISP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE OR SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED US DOLLARS (US$100).

Some jurisdictions do not allow the exclusion of implied warranties or limitation of certain damages, so some of the above limitations may not apply to you.

17. Indemnification

You agree to defend, indemnify, and hold Wisp, its affiliates, and their officers, employees, and agents harmless from any claim, liability, damage, or expense (including reasonable legal fees) arising out of or related to (a) Your Content, (b) your use of the Website or Service in violation of these terms or applicable law, or (c) your violation of a third party’s rights.

18. Termination

You may stop using the Service at any time. Where you use a paid feature of the Service it may be cancelled using the Wisp App.

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these terms, if you fail to make payments for use of the Service as they fall due, if required by law, or if we discontinue the Service or a feature of it.

Provisions that by their nature should survive termination will survive, including sections relating to Your Content, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Contact.

19. Changes to these terms

We may update these terms from time to time by updating them on our website. When we make a material change, we will revise the “Last updated” date above. Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.

20. We may transfer this agreement to someone else

We may transfer our rights and obligations under these terms to another organisation. Where we transfer our rights and obligations, we will ensure that any transfer will not affect your rights under this Agreement.

21. How we may use your personal information

We will only use your personal information as set out in our Privacy Policy.

22. Which country’s laws apply to a dispute

These Terms are governed by the laws of the Cayman Islands, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with this Agreement shall be referred to and finally resolved by arbitration. The arbitration shall be conducted in accordance with the Arbitration Act of the Cayman Islands and the legal place of arbitration shall be Grand Cayman, Caymans Islands. The arbitration shall be conducted in the English language.
