Terms of Use
1. Acceptance of terms
These Terms of Use (“Terms”) form a binding agreement between you and Wisp (“Wisp”, “we”, “us”) and govern your access to and use of the Wisp desktop application, the local Wisp agent, the confidential Wisp proxy, the marketing website, and any related documentation or services (collectively, the “Service”).
By downloading, installing, or using the Service you agree to these Terms. If you do not agree, do not use the Service.
2. What Wisp is
Wisp is a privacy-oriented AI workspace. It has three components:
- Wisp Desktop — a cross-platform application that runs on your computer and provides the chat interface, project workspace, and local settings.
- Wisp Agent — a local service that executes tools on your behalf on your machine, such as reading and writing files inside the project folder you select, running shell commands, fetching URLs, and performing web search.
- Wisp Proxy — a confidential relay that runs inside a Trusted Execution Environment (TEE) and forwards model requests to third-party large-language-model (LLM) providers on your behalf.
The Service is designed so that your conversations and files stay on your device at rest, and so that the operator of the Proxy cannot read your prompts or responses in the clear.
3. Your license to use Wisp
Subject to your compliance with these Terms, we grant you a personal, worldwide, revocable, non-exclusive, non-transferable, non-sublicensable license to install and run the Wisp desktop application and local agent on devices you own or control, and to connect to the Wisp Proxy as permitted by your configuration.
Some components of the Service may be distributed under their own open-source licenses. Where a component is distributed with its own license, that license governs your use of that component, and nothing in these Terms restricts rights granted by those open-source licenses.
4. Accounts and access
You can use the Wisp desktop application and local agent on your own machine without creating an account.
If your deployment of the Wisp Proxy requires authentication, you are responsible for: (a) keeping your credentials confidential, (b) all activity under your credentials, and (c) promptly notifying us or your administrator if you suspect unauthorized access.
5. Acceptable use
You agree not to use the Service to:
- violate any applicable law or regulation, or infringe the intellectual-property, privacy, or other rights of anyone else;
- generate, distribute, or solicit sexual content involving minors, content that promotes violence or self-harm, or other content that a reasonable person would find abusive;
- develop malware, spyware, ransomware, or tools designed to cause harm to computer systems, or instruct the agent to attack systems you do not have permission to test;
- circumvent, tamper with, or probe the Trusted Execution Environment, the Proxy’s attestation, access controls, rate limits, or any security feature of the Service;
- resell, redistribute, or provide the Service to third parties as a hosted product without our written permission;
- use the Service to build a competing product by scraping model outputs, or to violate the terms of any upstream LLM or search provider routed through the Proxy; or
- use automated means to abuse the Service, including unreasonable volumes of requests, that would harm the stability of the Proxy or upstream providers.
6. Third-party services
The Service integrates with third-party providers. When you use those integrations, your use is also governed by the third party’s terms and privacy policy. This currently includes, depending on your configuration:
- LLM providers reached through the Wisp Proxy (such as Redpill and Tinfoil);
- Search providersused by the agent’s private web-search tool (such as Brave Search);
- OAuth identity providers used by optional connectors (such as Google for Gmail, Drive, or Calendar tools);
- TEE attestation services used to verify the integrity of the Proxy enclave.
We are not responsible for third-party services, and their availability, pricing, and policies may change without notice.
7. Your content and outputs
You retain all rights to the prompts, files, code, and other material you provide to the Service (“Your Content”) and to the outputs the Service generates in response to you. We do not claim ownership of Your Content or of model outputs produced for you.
You are solely responsible for Your Content and for ensuring that you have the rights necessary to submit it to the Service and to any connected third-party provider.
8. AI output and agent actions
AI models can produce output that is wrong, outdated, biased, or fabricated. You should not rely on model output as a substitute for professional advice (legal, medical, financial, or otherwise) and you are responsible for reviewing output before you act on it.
9. Fees
The Wisp desktop application and local agent are made available without charge except where we indicate otherwise. If you obtain access to a paid tier, hosted Proxy, or other paid feature in the future, additional commercial terms will govern that access and will be presented to you at the time of purchase.
Third-party LLM and search providers may charge for their services independently. You are responsible for any charges that apply to accounts you hold with those providers.
10. Intellectual property
Except for open-source components and Your Content, the Service, including its software, branding, and documentation, is owned by Wisp and protected by intellectual-property laws. No rights are granted to you other than as expressly set out in these Terms.
You may not reverse engineer, decompile, or disassemble closed-source components of the Service except to the extent that such restriction is expressly prohibited by applicable law.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WISP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service will be uninterrupted, error-free, secure against every possible attack, or that model output will be accurate, reliable, or suitable for your purposes.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WISP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED US DOLLARS (US$100).
Some jurisdictions do not allow the exclusion of implied warranties or limitation of certain damages, so some of the above limitations may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold Wisp, its affiliates, and their officers, employees, and agents harmless from any claim, liability, damage, or expense (including reasonable legal fees) arising out of or related to (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of a third party’s rights.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Service or a feature of it.
Provisions that by their nature should survive termination will survive, including sections 7, 10, 11, 12, 13, 16, and 17.
15. Changes to these terms
We may update these Terms from time to time. When we make a material change, we will revise the “Last updated” date above and, where appropriate, notify you in the Service. Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.
16. Governing law
These Terms are governed by the laws of the jurisdiction in which Wisp is established, without regard to its conflict-of-laws principles. To the extent permitted by law, the courts located in that jurisdiction will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service.
Nothing in these Terms limits consumer rights that cannot be waived under the law of your country of residence.
